TERMS OF USE

Effective Date: 13th October, 2026

Welcome to Sonrails.com

These Terms of Use (“Terms”) govern access to and use of the Sonrails website, software, application programming interfaces (APIs), dashboards, hosted payment interfaces, developer tools, integrations, and related technology services (collectively, the “Platform”).

Sonrails is a technology company that develops and provides software infrastructure designed to help businesses integrate blockchain-based payment functionality into their websites, applications, and business operations.

The Platform enables merchants to generate payment requests, provide payment instructions to customers, monitor blockchain transactions, receive payment notifications, and configure supported digital-asset payments for settlement directly to merchant-designated wallets.

Sonrails is designed as a technology infrastructure provider and does not intend to take custody of, hold, or maintain balances of funds belonging to merchants. All payments are designed to settle directly to the merchant’s designated wallet.

By accessing or using the Platform, you agree to these Terms. If you use the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not use the Platform.

For the purposes of these Terms:

  • “Sonrails,” “we,” “us,” or “our” means the product, service and alludes to the legal entity that owns or operates the Sonrails Platform, as identified in the applicable website or service agreement.
  • “Platform” means the Sonrails software, APIs, dashboard, hosted interfaces, integrations, and associated technical infrastructure.
  • “Merchant” or “you” means a business, individual, or legal entity that registers for or uses the Platform to facilitate payments for its products or services.
  • “Customer” means a person or entity making a payment to a Merchant.
  • “Digital Assets” means cryptocurrencies, stablecoins, tokens, or other blockchain-based assets supported by the Platform.
  • “Merchant Wallet” means a blockchain wallet address designated by a Merchant to receive payments.
  • “Payment Request” means a payment instruction, payment session, checkout page, or related transaction reference created through the Platform.
  • “Third-Party Services” means external blockchain networks, wallet providers, infrastructure providers, APIs, hosting providers, and other third-party products or services used in connection with the Platform.
  • “Services” means the software and technology functionality Sonrails makes available through the Platform.

Sonrails provides software and technical infrastructure intended to enable blockchain-based payment functionality.

Depending on the features selected and the applicable integration, the Services may include:

  1. Creating payment requests and checkout sessions.
  2. Generating or displaying payment instructions and supported blockchain addresses.
  3. Monitoring publicly available blockchain transaction data.
  4. Detecting and reporting transactions associated with payment requests.
  5. Providing transaction status updates and payment notifications.
  6. Delivering API integrations, webhooks, and developer tools.
  7. Supporting configurable payment routing and settlement functionality.
  8. Providing transaction records, reporting tools, and dashboard features.

The precise functionality available to a Merchant may depend on its subscription, integration, supported networks, account configuration, and the features made available by Sonrails from time to time.

Sonrails does not sell the Merchant’s products or services, determine the Merchant’s commercial terms, or become a party to the underlying transaction between a Merchant and its Customer merely because the Platform is used.

Unless expressly agreed in a separate written agreement, Sonrails does not act as the Merchant’s agent, trustee, fiduciary, bank, lender, investment adviser, or custodian.

Sonrails is designed to enable payments to settle directly to a Merchant Wallet, rather than requiring the Merchant to maintain a stored funds balance with Sonrails.

The payment flow supports direct settlement, the Customer’s payment is routed to the relevant Merchant Wallet according to the payment instructions and configuration in place for that transaction and or account setup. All receiving wallets will be created by the Merchant at the point of registration manually and or automatically by the platform during the use of the platform depending on the requirements and will belong to the Merchant.

Sonrails does not intend to receive or hold Merchant funds in a custodial account, maintain a stored-value account for Merchants, or use Merchant funds for its own purposes.

Sonrails does not promise to provide deposit-taking, banking, or custodial services. Merchants should not treat the Platform as a bank account or a wallet for storing funds.

The Merchant is responsible for:

  • Providing a correct and compatible wallet address.
  • Ensuring that the wallet supports the relevant Digital Asset and blockchain network.
  • Maintaining control and security of its wallet and private keys.
  • Confirming that the wallet can receive the intended asset.
  • Ensuring that its wallet address has not been compromised.

Sonrails is not responsible for assets sent to an incorrect, unsupported, compromised, or inaccessible wallet address where the issue arises from the Merchant’s configuration, instructions, or wallet arrangements.

Settlement timing may depend on blockchain confirmation requirements, network congestion, transaction fees, payment configuration, wallet functionality, and Third-Party Services.

Accordingly, references to “instant,” “real-time,” or “automatic” settlement describe the intended functionality of the Platform and are not an unconditional guarantee that every transaction will settle immediately or without delay.

To use certain Services, you may be required to register an account and provide accurate information.

You agree to:

  1. Provide complete, accurate, and current registration information.
  2. Update information when it changes.
  3. Use the Platform only for lawful business activities.
  4. Keep your account credentials secure.
  5. Notify Sonrails promptly of suspected unauthorized access.
  6. Ensure that employees, contractors, and other authorized users comply with these Terms.
  7. Cooperate with reasonable requests for information required to maintain platform security or comply with applicable law.

You must have the legal capacity and authority to enter into these Terms. If you use the Platform for a business, you confirm that the business is properly authorized to conduct its activities.

Sonrails may decline an application or restrict access where reasonably necessary for security, fraud prevention, legal compliance, or risk management.

The Merchant remains responsible for its own business and its relationship with Customers.

You are responsible for:

  • The goods, services, subscriptions, or other items you sell.
  • Your prices, invoices, payment terms, and customer communications.
  • Determining whether to accept, fulfil, cancel, or refund an order.
  • Complying with consumer protection, tax, privacy, sanctions, and other applicable laws.
  • Disclosing your accepted payment methods and any applicable fees.
  • Ensuring that payment instructions are accurate and understandable.
  • Maintaining your own accounting and business records.
  • Securing your website, systems, API keys, and integrations.
  • Assessing whether accepting Digital Assets is lawful in your jurisdiction and the jurisdictions in which you operate.

Sonrails is not responsible for a dispute concerning the quality, delivery, legality, or suitability of a Merchant’s products or services.

The Platform may allow and facilitate a Merchant to create payment requests through the dashboard, API, or another supported integration.

A payment request may include a payment amount, supported Digital Asset, designated wallet address, payment reference, checkout interface, expiration time, or other transaction information.

The Merchant must ensure that the information supplied to the Platform is accurate.

Customers are responsible for reviewing payment details before submitting a transaction, including the amount, asset, network, destination address, and any applicable blockchain fees.

A payment is not necessarily complete merely because a Customer initiates or broadcasts a transaction. The Platform may report a payment as pending until the relevant transaction has met the applicable confirmation or verification criteria.

Sonrails may use blockchain data and technical verification procedures to identify and report transactions. The Merchant remains responsible for determining how the reported status affects its order fulfilment, accounting, and contractual obligations to Customers.

The Platform may support the detection and reporting of partial payments, excess payments, duplicate transactions, expired payment requests, or other payment exceptions.

Where a Customer pays less or more than the requested amount, the treatment of the payment may depend on the Platform’s available features and the Merchant’s configuration.

Unless expressly agreed otherwise:

  • Sonrails does not guarantee that every underpayment or overpayment can be automatically corrected.
  • A payment sent after a payment request expires may require additional review or processing.
  • The Merchant is responsible for deciding whether to fulfil an order associated with a partial, excess, late, or otherwise exceptional payment.
  • The Merchant is responsible for communicating with its Customer and arranging any refund that is required.
  • Network fees and transaction limitations may affect whether an amount can be recovered or returned.

Sonrails may provide tools or records to help investigate these situations but does not guarantee the recovery of assets once a blockchain transaction has been completed.

Sonrails may charge subscription fees, usage fees, integration fees, transaction-related technology fees, or other charges disclosed through the Platform or a separate agreement.

The applicable fees, billing method, payment currency, and due dates will be presented during registration, within the dashboard, on the relevant pricing page, or in an applicable written agreement.

Unless expressly stated otherwise, Sonrails’s fees are separate from blockchain network fees and fees charged by third-party providers.

The Merchant is responsible for applicable taxes, duties, and other governmental charges associated with its use of the Services, excluding taxes imposed on Sonrails’s own net income.

Sonrails may update its pricing prospectively by providing reasonable notice where required by applicable law or the relevant agreement.

Blockchain transactions are generally irreversible once sufficiently confirmed. Sonrails cannot guarantee that a completed transaction can be cancelled, reversed, recalled, or recovered.

The Merchant is responsible for its refund policy and for resolving disputes with Customers relating to goods, services, order fulfilment, pricing, and payment acceptance.

Where a refund is appropriate, the Merchant is responsible for arranging it using a suitable wallet or supported process, subject to applicable law and technical limitations.

The Merchant should independently verify the intended refund destination and amount before initiating a refund.

Sonrails may provide technical information or transaction records to assist an investigation, but it does not guarantee a successful refund, reversal, or recovery of Digital Assets.

Nothing in this section limits rights or remedies that cannot lawfully be excluded.

You must not use the Platform to:

  1. Facilitate fraud, theft, money laundering, terrorist financing, sanctions evasion, or other unlawful activity.
  2. Sell prohibited goods or services.
  3. Violate applicable sanctions, export controls, or financial restrictions.
  4. Misrepresent your identity, business, products, or payment activities.
  5. Infringe another person’s intellectual property, privacy, or other legal rights.
  6. Introduce malware, exploit vulnerabilities, or interfere with the Platform’s security or operation.
  7. Access accounts, data, or systems without authorization.
  8. Reverse engineer, copy, or misuse the Platform except as permitted by applicable law.
  9. Use the Platform to conceal the origin, destination, ownership, or purpose of unlawful transactions.
  10. Circumvent applicable usage limits, security controls, or compliance measures.

Sonrails may suspend or restrict access where it reasonably believes that a Merchant’s use violates these Terms, presents a security risk, or may expose Sonrails, another user, or a third party to legal or operational harm.

Each party is responsible for complying with the laws and regulations applicable to its own activities.

Depending on the relevant jurisdiction and actual service model, the use or provision of blockchain-based payment technology may be subject to requirements relating to licensing, registration, anti-money laundering, counter-terrorist financing, sanctions, data protection, consumer protection, taxation, and recordkeeping.

Sonrails may implement reasonable technical, operational, and compliance controls, including account verification, transaction monitoring, risk screening, usage restrictions, and requests for supporting information where appropriate.

Where required by law, or where reasonably necessary to address security or abuse concerns, Sonrails may delay functionality, restrict access, reject a transaction-related request, or suspend an account to the extent legally permitted.

Nothing in these Terms represents that Sonrails or any Merchant is licensed, registered, approved, or exempt from regulation in any particular jurisdiction. Any required authorizations must be assessed against the actual services provided and applicable law.

Sonrails may provide APIs, SDKs, webhooks, documentation, plugins, and other tools to enable integration with a Merchant’s systems.

The Merchant is responsible for implementing and maintaining integrations securely, including:

  • Protecting API keys, access tokens, and credentials.
  • Validating webhook signatures where supported.
  • Verifying payment status using appropriate server-side methods.
  • Preventing duplicate order fulfilment.
  • Handling retries, delays, and failed notifications.
  • Maintaining suitable logs and records.
  • Testing integrations before using them in a production environment.

A webhook or other notification is a technical communication and should not be treated as a substitute for reasonable verification of the relevant payment status.

Sonrails does not guarantee that every API request or webhook will be delivered without interruption, delay, or error.

The Merchant must not expose secret credentials in public code or provide unauthorized parties with access to its integration.

Sonrails aims to maintain reliable and secure Services but does not guarantee uninterrupted, error-free, or continuous availability.

The Platform may be unavailable or degraded because of maintenance, upgrades, security incidents, blockchain network conditions, infrastructure failures, cyberattacks, power or connectivity interruptions, or Third-Party Services.

Sonrails may modify, improve, suspend, or discontinue features where reasonably necessary for security, technical development, legal compliance, or business operations.

Where reasonably practicable, Sonrails will provide advance notice of material planned changes that significantly affect the Services. Emergency maintenance or urgent security changes may occur without advance notice.

The Platform may depend on public blockchain networks, wallet software, hosting providers, infrastructure providers, and other third-party services.

Sonrails does not own or control independent blockchain networks and cannot guarantee their availability, transaction speed, fees, security, governance, or future operation.

The Merchant acknowledges that blockchain transactions may be affected by congestion, protocol changes, network outages, forks, validator activity, software defects, or other events beyond Sonrails’s reasonable control.

Third-party services may be subject to separate terms and privacy policies. The Merchant is responsible for reviewing those terms where applicable.

Sonrails is not responsible for a third party’s acts or omissions except to the extent liability cannot lawfully be excluded or the loss is otherwise attributable to Sonrails under applicable law.

Sonrails may process account details, technical logs, integration data, transaction references, wallet addresses, and other information necessary to operate, secure, and improve the Platform.

Sonrails will handle personal data in accordance with its applicable Privacy Policy and relevant data protection laws.

Merchants must ensure that they have a lawful basis for collecting and sharing personal data through their use of the Platform, including any information submitted through payment pages, APIs, or integrations.

Public blockchain transactions may be visible to other network participants and may be difficult or impossible to remove from the blockchain. Users should not assume that personal information included in an on-chain transaction can be made private or deleted by Sonrails.

The Privacy Policy, where published, forms part of the contractual documentation governing use of the Platform.

Sonrails and its licensors retain all rights, title, and interest in the Platform, software, source code, APIs, documentation, designs, trademarks, logos, and related intellectual property, except for rights expressly granted to you.

Subject to these Terms, Sonrails grants the Merchant a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for its lawful internal business purposes during the applicable service period.

The Merchant must not reproduce, distribute, resell, sublicense, modify, or commercially exploit Sonrails’s intellectual property except as expressly permitted by Sonrails or applicable law.

The Merchant retains its rights in its own trademarks, products, and business data, subject to the rights necessary for Sonrails to provide the Services.

Each party may receive non-public information from the other in connection with the Services. The receiving party must take reasonable steps to protect such information and use it only for the purposes for which it was provided, subject to applicable law and any separate confidentiality agreement.

Neither party is required to treat information as confidential if it is already lawfully public, was independently developed without use of the confidential information, or was lawfully obtained from another source without a duty of confidentiality.

Sonrails will use reasonable technical and organizational measures intended to protect the Platform. No software system or internet-connected service can be guaranteed to be completely secure.

The Merchant is responsible for maintaining the security of its own systems, devices, credentials, wallet infrastructure, and integrations.

The Merchant may stop using the Platform at any time, subject to outstanding payment obligations and any separate agreement.

Sonrails may suspend, restrict, or terminate access where:

  1. The Merchant materially breaches these Terms.
  2. The Merchant engages in suspected fraud or unlawful activity.
  3. Continued access creates a material security or operational risk.
  4. Sonrails is required to do so by law or a competent authority.
  5. A relevant Third-Party Service becomes unavailable.
  6. Fees remain unpaid after any applicable notice and cure period.
  7. Sonrails discontinues the relevant Service.

Where reasonably practicable and legally permitted, Sonrails will provide notice of a material suspension or termination and an opportunity to address the issue.

Upon termination, the Merchant must stop using the affected Services and pay outstanding fees. Provisions that by their nature should survive termination—including intellectual property, disclaimers, limitations of liability, indemnities, and dispute-resolution provisions—will survive.

Termination does not reverse or cancel blockchain transactions already submitted to a network.

To the maximum extent permitted by applicable law, the Platform is provided on an “as available” basis.

Sonrails does not warrant that the Platform will always be available, uninterrupted, error-free, compatible with every system, or suitable for every business purpose.

Sonrails does not guarantee a particular payment volume, transaction success rate, settlement time, business outcome, or level of revenue.

Sonrails does not provide investment, trading, tax, accounting, or legal advice. The Merchant should obtain independent professional advice where necessary.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded under applicable law.

To the maximum extent permitted by applicable law, Sonrails will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses, or for loss of profits, revenue, business opportunities, goodwill, anticipated savings, or data, arising from or connected with the use of the Platform.

Subject to applicable law, Sonrails will not be responsible for losses arising from:

  • Blockchain network congestion, failure, or protocol changes.
  • Incorrect wallet addresses or unsupported assets selected by the Merchant.
  • Compromised Merchant credentials, private keys, or systems.
  • Errors in the Merchant’s integration or order-management processes.
  • Customer conduct or disputes between Merchants and Customers.
  • Failures of independent third-party infrastructure.
  • Delays or failures outside Sonrails’s reasonable control.

To the maximum extent permitted by applicable law, Sonrails’s aggregate liability arising from or relating to the Services will not exceed the fees paid or payable by the relevant Merchant to Sonrails for the Services during the three months immediately preceding the event giving rise to the claim.

This limitation does not apply to liability that cannot lawfully be limited or excluded, including any liability that applicable law expressly requires to remain unlimited.

To the extent permitted by law, the Merchant agrees to indemnify and hold harmless Sonrails, its affiliates, officers, employees, and contractors against third-party claims, losses, liabilities, costs, and reasonable legal expenses arising from:

  1. The Merchant’s unlawful use of the Platform.
  2. The Merchant’s products, services, or business activities.
  3. The Merchant’s breach of these Terms.
  4. The Merchant’s violation of another person’s rights.
  5. The Merchant’s failure to comply with applicable laws.
  6. Inaccurate payment instructions or unauthorized use of the Merchant’s account.

This obligation does not apply to the extent a claim is caused by Sonrails’s own breach of these Terms, negligence, wilful misconduct, or other conduct for which indemnification cannot lawfully be required.

Sonrails may update these Terms to reflect changes to the Platform, technology, business operations, security requirements, or applicable law.

The updated Terms will be published on the relevant website or made available through the Platform, with the revised effective date.

Where required by law, or where a change materially affects the Merchant’s rights or obligations, Sonrails will provide appropriate notice.

Continued use of the Platform after the updated Terms take effect constitutes acceptance of the revised Terms to the extent permitted by law. If the Merchant does not agree to a material change, it must stop using the affected Services.

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles, except where mandatory laws provide otherwise.

The parties will first attempt to resolve any dispute arising from these Terms through good-faith discussions.

If the dispute cannot be resolved through discussions within a reasonable period, it will be submitted to the competent courts of England and Wales, unless the parties agree in writing to another lawful dispute-resolution process.

Entire agreement. These Terms, together with any applicable service agreement, pricing terms, and Privacy Policy, constitute the agreement between Sonrails and the Merchant regarding the Platform.

Severability. If any provision is found invalid or unenforceable, the remaining provisions will remain effective to the extent permitted by law.

No waiver. Failure to enforce a provision does not constitute a waiver of that provision.

Assignment. The Merchant may not assign its rights or obligations under these Terms without Sonrails’s prior written consent, except where assignment is permitted by applicable law. Sonrails may assign these Terms as part of a merger, restructuring, or transfer of substantially all relevant business assets, subject to applicable law.

Force majeure. Neither party is responsible for delay or failure caused by events beyond its reasonable control, except for payment obligations already due and liabilities that cannot lawfully be excluded.

Independent parties. These Terms do not create a partnership, joint venture, employment relationship, or agency relationship between Sonrails and the Merchant.

Language. These Terms are written in English. Any translation is provided for convenience unless expressly stated otherwise.
